Mitihoon – With reference to recent news reports concerning Central Pattana Public Company Limited and its shareholding in Dusit Thani Public Company Limited, the Company hereby firmly denies the accuracy of such information. We therefore wish to provide the following clarification.
- Central Pattana has had the opportunity to jointly invest and become a business partner with Dusit Thani in the development of the Dusit Central Park project since 2017, with a total investment value exceeding THB 20 billion. The project has progressed smoothly, with the hotel and office building already in operation, and the Central Park shopping centre scheduled to open on September 4, 2025.
- Central Pattana currently holds 145,238,320 shares, representing 17.09% of Dusit Thani’s total issued shares since 2018. Throughout this period, Central Pattana has always respected the management of Dusit Thani’s major shareholders and provided full support to its business operations.
When Central Pattana was invited to nominate a representative to be appointed by the shareholders’ meeting as a director of Dusit Thani, the Company considered this as an opportunity to contribute its expertise to support Dusit Thani’s sustainable growth. Such nomination aligns with normal practice of shareholder participation proportionate to shareholding and is a prudent measure in safeguarding the Company’s investment. It does not constitute any form of control over Dusit Thani’s management.
Central Pattana reaffirms its commitment to conducting business in strict compliance with corporate governance principles applicable to all listed companies on the Stock Exchange of Thailand. This includes robust management of conflict of interest, which the Company has always prioritized and consistently implemented across all business partnerships both domestically and internationally.
- Dusit Thani is managed under the leadership of its major shareholder group, Chanat and Children Co., Ltd. Central Pattana confirms that it has no involvement in the decision-making of Chanat and Children Co., Ltd.
