TTB has received shareholder approval to expand its share repurchase program to THB 35 billion over a 4-year period (2025-2028). The Bank also launched the 4th round of share buyback in response to market volatility, reaffirming its focus on efficient capital management to maximize shareholders’ benefit.

Mitihoon – Mr. Piti Tantakasem, Chief Executive Officer of ttb, updated on the Bank’s share repurchase program, stating: For ttb’s share repurchase program, we place strong emphasis on effective execution to maximize shareholders’ benefit. Recent progress includes two key developments: an expansion of the program’s scope and an adjustment to the buyback plan in response to stock market volatility.

Regarding the first development, ttb has received approval to increase the share repurchase budget to THB 35 billion and extend the program period to 4 years (2025-2028), from the initial plan of THB 21 billion over 3 years. This approval was obtained at the Annual General Meeting of Shareholders (AGM) held on 21 April 2026. While the expansion of the program was not legally required the AGM approval, the Bank proceeded with shareholder approval in the interest of transparency. This also provided an opportunity to directly address questions from shareholders across all groups and to ensure fair information disclosure.

Next, the Bank announced an amendment of the share repurchase plan. Currently, ttb is in the process of executing its 3rd round of share repurchase through Automatic Order Matching (AOM) via the Stock Exchange of Thailand. The program runs from 20 February 2026 to 19 August 2026 (a six-month period). However, conflicts in the Middle East have unexpectedly put pressure on the Thai stock market. Under this market conditions, executing share repurchases through the AOM method has become challenging, as both share prices and trading volumes have been highly volatile due to rising concerns and uncertainties.

Having considered the relevant factors, the Bank’s Board of Directors has resolved to amend the share repurchase plan including the early termination of the 3rd round on 5 May 2026 and the launch of the 4th round. The 4th round of share repurchases will be conducted through the General Offer method during 25 May 2026 to 9 June 2026, with a total budget of THB 9,245 million. The preliminary share repurchase price range is expected to be between THB 2.20 and THB 2.28 per share. The final repurchase price will be announced within 5 May 2026.

Mr. Piti Tantakasem concluded: The change to General Offer method will help reduce uncertainties arising from market conditions and enhance the efficiency of the program, as the buyback can be completed within 10 business days. In addition, the currently applicable regulations have removed the 6‑month waiting period previously required before launching a new program, improving flexibility and continuity in managing share buyback program. This is one of key enablers, supporting the Bank to execution the THB 35 billion share repurchase plan.

Following the share repurchases, the Bank’s capital levels remain strong and sufficient to support business growth plans and absorb future risks. Capital Adequacy Ratio (CAR) after the 4th share buyback round is expected to stand above 19.0%, which is comparable to other D-SIBs, and well above the BoT’s minimum requirement of 12.0%.
